Terms & Conditions
These Terms and Conditions constitute a legally binding contract between you and UniAfriX Ltd, a company incorporated under the laws of Ghana with its principal place of operations in Ejisu, Ashanti Region. By creating an account, accessing, or using any feature of the uniafrix.com platform, you agree to be bound by this Agreement in its entirety.

1. Acceptance of Terms
1.1 Access to and use of the UniAfriX Platform is conditioned upon your full and unconditional acceptance of this Agreement. These terms apply to all visitors, registered users, tournament participants, content contributors, and any other persons who access or interact with the Platform in any capacity. 1.2 UniAfriX Ltd reserves the right to amend, revise, or replace any part of this Agreement at any time and at its sole discretion. Where changes are material, we will endeavour to provide at least fourteen (14) calendar days' notice via the Platform or by email to your registered address. Your continued access to or use of the Platform following the effective date of any modification shall constitute your binding acceptance of the revised terms. 1.3 In the event of a conflict between these Terms and Conditions and any other UniAfriX policy document (including the Privacy Policy and Anti-Cheat & Fair Play Policy), these Terms and Conditions shall take precedence unless the other document expressly states otherwise.
2. Eligibility
2.1 You must satisfy all of the following eligibility requirements in order to register for and use the UniAfriX Platform: • Age Requirement: You must be at least thirteen (13) years of age. By creating an account, you represent and warrant that you meet this minimum age requirement. • Minor Consent: If you are between the ages of thirteen (13) and seventeen (17) inclusive, you must have the express, documented consent of a parent or legal guardian before creating an account or participating in any Platform activity. UniAfriX may require evidence of such consent at any time. • Cash-Prize Tournaments: Participation in tournaments where monetary prizes, UAX token payouts convertible to fiat currency, or any financial benefit is offered may require you to be at least eighteen (18) years of age, subject to the laws and regulations applicable in your country of residence. It is your sole responsibility to ensure you comply with all applicable local laws prior to entering such tournaments. • Jurisdictional Restrictions: The Platform is not intended for use in jurisdictions where competitive gaming, skill-based wagering, or the awarding of prizes is prohibited by law. Users in such jurisdictions access the Platform at their own risk, and UniAfriX accepts no liability for any regulatory consequences arising therefrom. 2.2 UniAfriX reserves the right to request identity verification documents at any point to confirm eligibility. Failure to provide satisfactory documentation within a reasonable timeframe may result in account suspension.
3. User Accounts & Security
3.1 In order to access most features of the Platform, you must register for an account. By doing so, you agree to provide accurate, complete, and up-to-date information during the registration process and to maintain the accuracy of such information at all times. 3.1 Account Confidentiality You are solely and exclusively responsible for maintaining the security and confidentiality of your account credentials, including your username, password, and any two-factor authentication codes. You agree to notify UniAfriX immediately at security@uniafrix.com upon becoming aware of any unauthorised access to or use of your account. UniAfriX will not be liable for any loss, damage, or liability arising from your failure to safeguard your account credentials or from any unauthorised access that occurs prior to your notification to us. 3.2 One Account Per User Each natural person may hold only one (1) active UniAfriX account at any given time. The creation, operation, or use of multiple accounts—whether under the same or different identities—for the purpose of manipulating player rankings, tournament brackets, matchmaking queues, leaderboards, or any other Platform system is a serious violation of this Agreement. Upon confirmation of such conduct, UniAfriX will permanently ban all associated accounts and forfeit any balances or prizes held therein without compensation. 3.3 Account Transfers UniAfriX accounts are personal and non-transferable. You may not sell, assign, sublicence, gift, or otherwise transfer your account or any rights therein to any third party. Any purported transfer shall be null and void, and UniAfriX reserves the right to terminate any account that has been transferred or is reasonably suspected of having been transferred. 3.4 Inactive Accounts An account shall be deemed inactive if the registered user has not logged into the Platform for a period exceeding twelve (12) consecutive months. Prior to termination of an inactive account, UniAfriX will send at least one (1) written notice to the registered email address providing a thirty (30) day cure period within which the user may reactivate the account by logging in. If no action is taken within the cure period, UniAfriX reserves the right to permanently delete the account and all associated data, including any residual UAX token balances. 3.5 Account Termination by User You may request the closure of your account at any time by contacting support@uniafrix.com. Account closure requests will be processed within fourteen (14) business days. Upon closure, any pending tournament obligations must be fulfilled or forfeited before the account is deactivated. Residual UAX token balances at the time of closure are subject to the withdrawal policies in effect at that time.
4. Tournaments & Competitive Play
4.1 UniAfriX facilitates competitive gaming across a range of formats, including but not limited to head-to-head matches, team-based brackets, round-robin leagues, and open championships. The following policies govern all forms of tournament participation on the Platform. 4.1 Skill-Based Competition All tournaments hosted on UniAfriX are games of skill. Results are determined solely by the individual or collective performance of participants within the applicable game environment. UniAfriX does not operate games of chance. Entry fees, where applicable, are consideration for participation in a competitive event and do not constitute gambling under the laws of Ghana. 4.2 Tournament Rules Each tournament hosted on the Platform is governed by a set of specific tournament rules published at the time of registration. These tournament-specific rules are incorporated into this Agreement by reference. In the event of any inconsistency between tournament-specific rules and this Agreement, the tournament-specific rules shall prevail with respect to that tournament only. 4.3 UAX Tokens The UAX token is a platform-specific digital currency issued exclusively by UniAfriX Ltd for use within the Platform. UAX tokens may be used to pay tournament entry fees, receive prize distributions, and access certain premium Platform features. UAX tokens are not legal tender, have no value outside of the Platform, and may not be traded on any external exchange. UniAfriX reserves the right to adjust UAX token exchange rates, withdrawal thresholds, and conversion policies at any time with reasonable prior notice. UAX tokens are non-refundable except as expressly provided under Section 5 (Wallet & Payouts) or applicable consumer protection law. 4.4 Result Verification UniAfriX employs a hybrid verification system combining automated API synchronisation with game publishers and manual administrative review to confirm the accuracy of all match results. In cases of disputed outcomes, UniAfriX will initiate a formal review within forty-eight (48) hours of the dispute being raised. The final decision of UniAfriX administrators, made following such review, is binding and non-appealable except where the dispute arises directly from a suspected breach of the Anti-Cheat & Fair Play Policy, in which case the process outlined in Section III shall apply. 4.5 Prize Distribution Prize pools for each tournament will be clearly stated at the time of registration. UniAfriX reserves the right to withhold prize distribution where the legitimacy of match results is under investigation. In the event a tournament is cancelled prior to commencement due to circumstances beyond UniAfriX's reasonable control (including but not limited to game publisher API downtime, force majeure events, or insufficient participation), entry fees will be refunded in full to all registered participants.
5. Wallet & Payouts
5.1 Third-Party Payment Processors UniAfriX utilises regulated third-party payment processors, currently including Paystack and Flutterwave, to facilitate all financial transactions on the Platform. By initiating any financial transaction, you also agree to be bound by the applicable terms of service and privacy policies of the relevant payment processor. UniAfriX does not store, process, or transmit credit card numbers, bank account details, or other sensitive financial data on its own servers. All such data is handled exclusively by the relevant third-party processor in accordance with applicable Payment Card Industry Data Security Standards (PCI-DSS). 5.2 Verification Window To protect the integrity of the Platform and all participants, all prize payouts are subject to a mandatory verification window of twenty-four (24) to forty-eight (48) hours following the conclusion of a tournament. During this window, UniAfriX will review match logs, telemetry data, and any reported incidents to confirm that no breach of the Anti-Cheat & Fair Play Policy occurred. Payouts will be released following the satisfactory completion of this review. 5.3 Payout Withholding & Investigation UniAfriX reserves the right to place an indefinite hold on any payout where the account holder is under active investigation for a suspected breach of the Anti-Cheat & Fair Play Policy, a violation of these Terms and Conditions, or any suspected fraudulent activity. The user will be notified of the hold and the general basis for the investigation. Should the investigation result in a finding of no violation, the withheld payout shall be released in full. Should a violation be confirmed, the payout shall be forfeited in accordance with Section III of this Agreement. 5.4 Withdrawal Limits & Taxes UniAfriX may impose minimum and maximum withdrawal limits, as published on the Platform from time to time. Users are solely responsible for reporting and paying all applicable taxes on tournament winnings and prize distributions in their respective jurisdictions. UniAfriX does not provide tax advice and shall not be held liable for any tax obligations arising from your use of the Platform. 5.5 Chargebacks & Fraudulent Transactions Any attempt to initiate an unauthorised chargeback or payment reversal with a financial institution or payment processor in respect of a valid tournament entry fee or Platform transaction constitutes a material breach of this Agreement. UniAfriX reserves the right to immediately suspend the relevant account, recover the amount subject to the chargeback, and pursue all available legal remedies.
6. Intellectual Property
6.1 The UniAfriX name, wordmark, logo, and all associated brand assets are registered or unregistered trademarks of UniAfriX Ltd. No licence to use any UniAfriX trademark is granted under this Agreement. 6.2 The Platform and all of its constituent elements—including but not limited to the proprietary "Operating System" platform architecture, matchmaking algorithms, Anti-Cheat software and telemetry engine, database schemas, source code, user interface designs, graphical assets, and written content—are the exclusive intellectual property of UniAfriX Ltd and are protected under the Copyright Act, 2005 (Act 690) of Ghana and applicable international intellectual property conventions. 6.3 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes during the term of this Agreement. This licence does not include any right to: (a) copy, reproduce, or distribute any part of the Platform; (b) modify, adapt, translate, or create derivative works based on the Platform; (c) reverse-engineer, decompile, or disassemble any component of the Platform; or (d) use any automated data collection tools, scrapers, or bots to extract data from the Platform. 6.4 Any feedback, suggestions, or ideas you submit to UniAfriX regarding the Platform shall become the sole and exclusive property of UniAfriX Ltd. By submitting such feedback, you irrevocably assign to UniAfriX all intellectual property rights in such feedback without entitlement to any compensation.
7. Limitation of Liability
7.1 To the fullest extent permitted by applicable law, UniAfriX Ltd, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, loss of goodwill, or service interruption. 7.2 UniAfriX's total aggregate liability to you in connection with this Agreement, regardless of the cause of action, shall not exceed the total amount of fees actually paid by you to UniAfriX in the six (6) months immediately preceding the event giving rise to the claim. 7.3 UniAfriX does not warrant that the Platform will be available at all times, free from errors, or free from viruses or other harmful components. Scheduled maintenance and unscheduled downtime may occur and UniAfriX accepts no liability for losses arising therefrom.
8. Governing Law & Dispute Resolution
8.1 This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. 8.2 Any dispute arising out of or in connection with this Agreement shall first be referred to mediation administered by a mutually agreed mediator. If the dispute is not resolved through mediation within thirty (30) days of referral, either party may refer the matter to arbitration in accordance with the rules of the Ghana Arbitration Centre, whose decision shall be final and binding. 8.3 Nothing in this clause shall prevent either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction in Ghana where necessary to protect its legitimate interests.
